TERMS & CONDITIONS

These Terms and Conditions govern how Vector Group Charitable Trust (CC45966) trades as Troppo — tropical urban food forest, nursery, and flagship hub of the Kai Resilience programme in Te Puke, Bay of Plenty.

1. Who we are & your agreement

1.1 About Troppo and Vector Group Charitable Trust
Troppo is a tropical urban food forest, exotic plant nursery, and education hub operated as an initiative of Vector Group Charitable Trust (NZ registered charity CC45966). Our charitable mission is Envisioning Sustainable Communities Creatively.

Troppo is the flagship living demonstration and founding hub of the Kai Resilience programme — community food growing, food forests, and kai security across Aotearoa New Zealand. The national Kai Resilience directory is at kairesilience.food. The umbrella charity is at vectorgroup.org.nz.

1.2 What we offer
Through www.troppo.nz we sell plants and related goods, share growing knowledge, run workshops and tours, and provide free grower tools linked from kairesilience.food/tools. Trade through this website supports our charitable work in food resilience, education, and community kai.

1.3 These terms
We, us and our mean Vector Group Charitable Trust trading as Troppo. You and your mean the customer, visitor, or user.

1.4 Your agreement
By placing an order, creating an account, or using our website, you agree to these Terms and Conditions, our Privacy Policy, and our Refund & Returns Policy.

1.5 Consumer law
Where the Consumer Guarantees Act 1993 applies, nothing in these terms limits your rights under the CGA. Business purchases may be excluded from the CGA and parts of the Fair Trading Act 1986 as permitted by law.

2. Pricing

2.1 Prices are in NZ$ and include GST unless stated otherwise. Freight is additional unless agreed in writing.

2.2 Trade account prices exclude GST, payable in addition.

2.3 Prices may change without notice; your order confirmation price applies to that order.

2.4 Biosecurity levies under the Biosecurity Act 1993 may be added to affected seedlings or cuttings.

3. Orders & confirmation

3.1 We confirm availability by order or service confirmation.

3.2 We may request a non-refundable deposit of 25%–100%, due immediately. Orders without deposit after 14 days may be cancelled.

3.3 Confirmed orders are supplied subject to shortages beyond our reasonable control.

3.4 We may refuse or cancel orders before acceptance (e.g. stock, biosecurity, or fraud concerns).

4. Payment

4.1 Balance is payable on collection or before dispatch unless agreed otherwise.

4.2 Approved trade accounts pay by the 20th of the month following delivery.

4.3 Payment by bank transfer, card, or cash as offered.

4.4 Default makes all amounts immediately due; we may withhold delivery or cancel orders.

5. Ownership

5.1 Goods remain our property until paid in full for all amounts you owe us.

6. Default & force majeure

6.1 Overdue accounts may incur 3% compounding monthly interest.

6.2 You indemnify us for recovery costs on solicitor–client basis where permitted.

6.3 Events of default (payment breach, insolvency, etc.) make all amounts immediately due.

6.4 Force majeure excuses delay beyond reasonable control; either party may terminate after 45 days of continued force majeure.

7. Delivery & collection

7.1 Collection from Te Puke or freight as arranged; five working days’ notice preferred.

7.2 Risk passes when goods leave our nursery or are handed to the carrier.

7.3 Bare-root (OG) stock not collected by 31 August may be resold; deposit may be forfeited.

7.4 We may deliver in instalments and charge 10% monthly holding fee after the agreed delivery period.

7.5 Uncollected goods may be on-sold without credit to you.

7.6 Collectors must follow our health and safety requirements.

8. Returns, claims & disputes

8.1 Returns are governed by our Refund & Returns Policy.

8.2 Defect claims: notify in writing within 48 hours of receipt; return within 48 hours unless agreed otherwise.

8.3 Transit damage: notify the carrier and us.

8.4 Disputes: good-faith negotiation, then optional binding arbitration if unresolved after 20 working days.

9. Limitation of liability

9.1 No liability for force majeure delay.

9.2 No indirect or consequential loss except where law requires.

9.3 Remedy may be limited to replacement or price paid for affected goods or services.

9.4 Written notice of claims within one week; proceedings within one year unless law requires longer.

9.5 Implied warranties excluded where permitted; CGA rights remain for consumers.

10. Trays

10.1 $12.50 tray deposit where applicable; full credit on return within three months in reusable condition.

11. Indemnity

11.1 You indemnify us for claims from misuse of goods except where caused by our negligence.

12. Plant quality & advice

12.1 We take reasonable care on quality and naming; other warranties excluded where permitted.

12.2 Growing advice is general; results depend on your site and care.

12.3 Projections and consultancy are estimates only.

13. Personal Property Securities Act 1999

13.1 Security interest in goods as security for amounts owed.

13.2 You agree to cooperate in perfecting that interest.

13.3–13.5 PPSA Part 9 exclusions and waivers apply as previously disclosed in our standard trade terms.

14. Privacy

We handle personal information under our Privacy Policy and the Privacy Act 2020.

15. Website & intellectual property

Site access may be suspended for maintenance. Content is owned by Vector Group Charitable Trust. Personal use only without written permission. No malware or unauthorised access. Fair linking allowed; framing and false endorsement are not.

16. Kai Resilience network

Troppo is part of the Vector Group kai network including Kai Resilience, Food Forests New Zealand, and Grow Te Puke. Sales support our charitable food-resilience work; purchases are commercial transactions unless otherwise stated in writing.

17. General & contact

17.1 These terms prevail over inconsistent documents unless we agree otherwise in writing.

17.2–17.5 Severability, no waiver without writing, no assignment without consent, New Zealand law and courts.

17.6 Updates are effective when posted on www.troppo.nz.
